01Agreement and scope

Amflirst LLC (Kpree) provides the Kpree Sales business workspace under its Kpree Media Technologies product brand. These terms are effective October 24, 2026. An authorized administrator accepts them on behalf of the organization through Kpree’s explicit company acceptance step. Viewing this page, signing in or continuing to use Kpree does not by itself constitute acceptance. A record of the accepted document version, organization, administrator and acceptance time is retained.

A signed master agreement, order form, data processing agreement or AI and source-data addendum between your organization and Kpree controls over these online terms on any conflicting subject, according to that signed agreement’s order of precedence. Publishing a new notice or accepting these online terms does not silently amend that signed agreement. Prior document versions and acceptance records remain historical evidence; a new online version requires a new explicit acceptance.

02Authorized business use

Kpree Sales is for your organization’s authorized business users to manage customer relationships, seller worksheets, proposals, orders and related reporting. Use is limited to the workspace and records your role permits. Protect your account credentials and use the service lawfully. Do not resell, sublicense or provide unauthorized access to the service, bypass access restrictions or interfere with its security or operation.

03Your records and licensed data

Your organization and its licensors retain their rights in records and content submitted or connected to Kpree. You must have the authority and necessary rights to use that content and permit its processing for your workspace, including disclosure to an AI application when you authorize that disclosure. Kpree’s permission to process it is limited to providing, supporting and securing the service. Kpree and its licensors retain their rights in the Kpree software and service.

Ratings and other licensed third-party data remain subject to their owners’ rights, applicable licenses and current access grants. Workspace access does not grant additional rights to copy, export, redistribute or resell licensed data. Users must observe the restrictions that apply to their organization and intended use.

A provider key, an uploaded file or technical access does not by itself establish permission for every downstream use. Program schedules, inventory, prices and derived outputs can remain subject to source licenses and confidentiality obligations even when ratings are excluded. Confirm that the applicable source terms permit the intended processing, recipients and outputs; obtain any required provider approval before that use. Kpree does not grant TitanTV, WideOrbit or another provider’s rights on that provider’s behalf.

04Optional AI applications and data sharing

AI Connections is optional. Your company selects available applications and access by area, and each member approves the access for their connection. Areas are Accounts & opportunities; Follow-ups, inbox & reports; Avails, proposals & orders; Rate cards & pricing; Stations & programming; Revenue, billing & goals; Political; and Company settings. The available Off, Read and Read & change choices, shared reading permissions and any extra verification are shown in the connection controls. Every operation remains limited by the company’s policy and the member’s current record, field and financial permissions.

Allowed changes can create or update accounts, contacts and CRM activities; avails, proposals, rate cards and spot allocations; invoice drafts, correction and rebill drafts; goals, forecasts, reports and other supported records in the selected areas. Permitted internal actions can also record a manual order from a sent proposal as confirmed and book it within Kpree, subject to the same order permissions and approvals as the workspace. Changes can save directly; do not assume each action waits for a separate confirmation or affects only a draft. Financial read access is not permission to issue invoices or make payments. Pricing changes and goal-plan submissions require the applicable temporary change window shown in Kpree.

Information returned through the connection leaves Kpree for the AI application you connect. This can include program schedules, prices, available spot counts, revenue, billing and forecast information and stored imported business data, as well as permitted contacts, notes and messages when detailed-record access is allowed. The current AI connection excludes ratings and audience data, credentials, raw attachments and file exports. These technical exclusions do not establish permission to disclose other licensed or confidential information.

Use an AI account whose terms, retention, training settings and organizational controls are suitable for the information you authorize. Kpree does not set those choices for a separately obtained AI account or promise that every AI provider uses the same policies. Processing a request can disclose data even when it is not used to train a model. Disconnecting stops future access through that connection; it does not erase information already received by the AI application or undo changes already saved in Kpree.

AI data sharing and account choices

05Built-in AI assistance and background agents

Kpree Assistant chats and built-in sales agents are separate from externally connected AI applications. Company business-AI permission and the available user settings control their use. Enabled Sales Briefing, Follow-up, Renewal, Proposal & Planning, Campaign Health, Billing, Reconciliation & Collections, and Outreach agents can react to eligible changes or run on schedules while a user is offline, within current membership, record access and service limits. They may create internal tasks, notes, recommendations and supported proposal, avail or message preparations. Their work does not expand the acting user’s authority.

Conversation understanding is a separate opt-in. When enabled, eligible email and SMS text and related context may be sent to Kpree’s configured OpenAI or Anthropic API provider for interpretation. Eligible findings can be shared or reused among agents within the authorized scope. Structured agent sources exclude Google-origin email and calendar information and derived CRM records, ratings and audience datasets, credential fields and raw attachment files. Eligible email and SMS text is not generally redacted before provider processing; restricted or sensitive information embedded in that correspondence can still be disclosed. Instructions limiting an AI answer do not remove content before submission. Do not enable conversation understanding for correspondence you lack authority to disclose. Call and voicemail context currently uses permitted metadata and review status, not audio or transcripts. Review the Privacy Policy before enabling these features and do not submit unauthorized content.

Agent outputs are not private Assistant chats: saved CRM work and activity can be visible to users with normal access to those records. Review content, recipients, customer instructions, consent, source rights, dates, pricing and inventory before approving an external action. An enabled agent is not authorization to send a message, place a call, execute a payment, issue an invoice or transmit or accept a commercial document without the applicable review and approval. An AI interpretation, duplicate-prevention check or prepared draft is not a guarantee of accuracy, exclusivity, legal compliance or a completed action.

Disable an agent to stop future work under that setting, or disable conversation understanding to stop future interpretation under that choice. These controls do not undo business records already saved or erase information already processed by the API provider. The Privacy Policy explains provider processing and separate retention for conversation interpretations, reports and durable CRM records. Source rights, confidentiality and mandatory protections continue to apply.

06Business communications, consent and recordings

Your organization controls its business senders and the lawful purpose, recipients and content of email, SMS, calls and voicemail. Obtain and retain the consent, authority and notices required by applicable law and provider rules, including required written consent for marketing or automated communications. Clearly identify the actual sender, honor opt-outs and contact restrictions, observe applicable calling times and do-not-call rules, and do not use purchased or transferred consent as permission to contact a person. An inbound inquiry is not blanket consent for unrelated or repeated outreach. Kpree’s personal account-notification SMS consent and these Seller Terms do not provide customer messaging consent.

Commercial email must use accurate sender information and subjects, include required advertising identification and a valid sender postal address, and provide and honor a usable unsubscribe method under applicable law. Business-to-business messages are not automatically exempt. Record the actual request and apply suppression across the relevant sender and channels as required; changing a draft, user, phone number or agent must not evade a contact restriction.

Company messaging may require carrier registration, legal business and contact details, samples and consent evidence. Provide accurate information and maintain your registration. Technical setup, a saved provider credential, registration submission, billing payment or publication of Kpree policies is not proof of carrier approval or permission to send. Providers may impose their own service restrictions, fees or suspensions; current accepted tariff and commercial agreements govern the applicable charges.

Before recording a call or enabling voicemail, give required notices and obtain the consent required where the participants are located, including every participant where the law requires it. Do not record first and seek permission later. Kpree’s enablement and confirmation controls do not determine which laws apply or independently establish participant consent. Manage access, the selected retention and any lawful retention obligations. Recording expiry initiates provider deletion work and does not promise that every provider or backup copy disappears instantly. Do not use calling or messaging as an emergency service.

07Review, inventory and commercial actions

AI answers and changes can be inaccurate or incomplete. Review the affected records, rates, dates, quantities, source mappings and current inventory before relying on them or making a commercial commitment. A program’s scheduled airing does not establish unsold inventory. Missing, stale, partial or unconfirmed availability must not be treated as zero or as a promise that spots can be booked. An optimization or proposed allocation is not a guarantee of delivery, performance or inventory.

The current AI connection prepares sends to buyers and partners, responses confirming or rejecting buyer orders, invoice issue or cancellation, publishing and other designated final actions for an authorized person to complete in Kpree. The person must review the normal confirmation and applicable approvals. A saved draft, an AI response or an action request is not proof of transmission, acceptance, booking or traffic-system execution; verify the actual Kpree status and any required external confirmation. An internal Kpree booking or a recorded traffic status is separate from execution in an external traffic system.

Changes made through AI are attributed to the acting user and application in Kpree’s history. Review and correct saved records using the available workspace controls, and revoke a connection when it should no longer have access. Human review and your source-rights responsibilities do not remove Kpree’s own obligations under an applicable signed agreement or law. These online terms do not add an AI-specific indemnity or alter liability limits in a signed agreement.

08Subscriptions and commercial terms

A separately agreed order form or other written commercial agreement controls pricing, subscription scope and duration, payment, renewal and cancellation terms. These terms set no price, billing schedule or automatic renewal obligation. Any express commitments in that agreement govern the subjects it addresses.

09Third-party connections and QuickBooks Online

Connect only third-party accounts you are authorized to manage for your organization. Each provider controls its own service, permissions and terms. A connection authorizes Kpree to access the selected source for the configured workspace functions, subject to the provider’s authorization and your workspace permissions.

The current QuickBooks Online connector provides read-only access to invoices, credit memos and customer identifiers and names for account matching, payment status, receivables and credit review. It does not create or modify QuickBooks records or initiate payments. Your organization and the applicable rights holders retain ownership of source records; importing them does not transfer ownership to Kpree. QuickBooks remains the source of record for those transactions.

10Optional Google Calendar connection

Google Calendar import and personal reminders are optional and can be selected separately. Connect only a Google account you are authorized to use. Reminders require your company to allow them and a specific action to send each update; connecting does not send invitations or email. Disconnecting stops further access through that connection but does not remove reminders already in Google or records already saved in your workspace. See the integration guide and Google data disclosures for the available choices.

11Financial information and your decisions

Financial metrics, balances and reports are informational and are not legal, accounting or tax advice. Imported information can be incomplete or out of date. Review source records, sync status and any exceptions before relying on a figure, making a credit decision or preparing financial or legal filings. Your organization remains responsible for its records and decisions and for obtaining appropriate professional advice.

12Disconnection and retained records

Disconnecting QuickBooks removes that connection’s stored credentials and stops its sync work. Kpree requests revocation from Intuit when available and reports the outcome; if revocation is not confirmed or authorization remains in place, remove Kpree from your QuickBooks connected apps. Disconnection does not delete source records or automatically erase imported business records and audit history. Retained information remains subject to deletion requests and applicable obligations as described in the Privacy Policy and QuickBooks disclosure. Contact Kpree support for a deletion request.

13Confidentiality, security and acceptable use

Use another party’s confidential information only for the authorized business purpose and disclose it only to people and providers entitled to receive it. Your organization must manage user access, connected accounts, lawful source rights and required customer or employee notices. Kpree will handle workspace information under the Privacy Policy and applicable written agreements, restrict staff access to authorized support, security and legal purposes, and use reasonable safeguards. No online system can guarantee absolute security. Report suspected unauthorized access promptly to support@kpree.com.

Do not use the service for unlawful communications, harassment, fraud, malware, unauthorized surveillance, unlawful discrimination, infringement or attempts to evade consent, licensing, authentication or usage restrictions. Do not upload sensitive or regulated information unless the intended processing is lawful and the necessary contractual and security arrangements are in place. Kpree’s general business features are not a promise of healthcare, financial-services or other industry-specific certification.

14Service restrictions, account closure and records

Subject to mandatory law and any controlling signed agreement, Kpree may restrict access or a particular integration when reasonably necessary to address security threats, abuse, unlawful activity, provider restrictions or a material breach. Where practicable and appropriate, Kpree will explain the issue and available remediation; urgent protective action may come first. These terms do not create an automatic billing or cancellation obligation beyond an applicable commercial agreement.

Coordinate exports and account closure with your company administrator and Kpree support. Disabling a user, agent or connection, suspending a company, canceling a subscription and permanently deleting workspace data are different actions. A scheduled company deletion has a 30-day grace period and requires a separate operator purge after that period; expiry of the grace period alone does not establish deletion. Historical acceptances, commercial snapshots, billing evidence, security records and lawful retention obligations can survive account closure. Neither closure nor a purge recalls documents, messages or data already held by recipients or independent providers.

15Support, availability and warranties

Kpree will use commercially reasonable efforts to support Kpree Sales. Service availability may be affected by maintenance, provider outages or other interruptions. No response time, uptime commitment or external certification is promised by these terms. Any agreed service commitments must be stated in a separate written agreement. Contact Kpree support for assistance.

Except for express commitments in an applicable written agreement, and to the extent permitted by law, the service is provided “as is” and “as available,” without implied warranties of merchantability or fitness for a particular purpose. These terms do not exclude or limit any warranty or right that cannot lawfully be excluded or limited.

16Privacy and optional SMS

The Privacy Policy describes workspace information use and privacy requests, including QuickBooks data use and disconnection. Optional SMS is covered by the existing SMS Terms and its separate consent choices. These seller terms do not change SMS consent or enroll anyone in messaging.
